Credo che sia possibile attribuire al sostantivo 'convention' una funzione attributiva (come se fosse 'conventional') e che l'espresione alluda alle norme del contratto che prevedono la possibilità di delegare la risoluzione di eventuali controversie in ordine all'interpretazione del contratto a una procedura conciliativa consensuale, come ad esempio l'arbitrato.
Sostituirei inolte la locuzione "ad eccezione di" con "fatta salva".
