Main rules for decision making are:
- No decision in the Consortium can be taken against the collective interest of the SME participants: RTD performers have not voting rights and the SMEs may not be represented by RTDs (RTDs will maintain an advisory role);
- Persons involved in the above management bodies will be nominated by their own organizations;
- Delegation of votes from SMEs to RTD performers is not allowed;
- All SME partners have the same voting rights independently of their economic and technical contribution: 1 person = 1 SME = 1 vote;
- Normal decisions to be taken in the Project Board will be taken upon 3/5 of the votes;
- As the technical implementation of the project will be the collective responsibility of the participants, should a participant breach the contract, the Consortium will make all the approaches ***to make good this breach***. If this is not possible, the remaining participants will implement the project. |
