ある会社の取締役会の一員であるdirector（弁護士）に対する報酬に関する文です。　このdirectorは、当該会社の人ではありませんが、この会社が取締役会メンバーとして選任し、1株与えています。会社はスイスの企業です。何の会社なのか、また会社名等は不明で、ただthe companyとあるのみです。
英文ですが；
As member of the Board, the director shall be entitled to an annual fee of CHF 5,000-plus 10% Social Contributions, payable to the debit of the company at the beginning of the year, for the first time after the constitution of the company.
