The Receiving Party shall indemnify and keep indemnified the Disclosing Party from and against any loss or damage suffered by the Disclosing Party arising from the failure of the Receiving Party to comply with the provisions of this Agreement.

Please advise me on the meaning of the phrase.

shall indemnify and keep indemnified the Disclosing Partyの部分は、共通構文となっていて、省略せずに書くと、

shall indemnify the Disclosing Party and keep the Disclosing Party indemnified

となると思います。

「免責したうえで、さらにその状態を継続させる」ということでしょうが、免責条項でここまで念入りに書くことはあまりないように思います。

意味は上記だと思いますが、訳はもう少しこなれたものがあるかもしれません。
