Subcontractor agrees to indemnify XX and hold it harmless from and against the first US$ xx (xx Dollars United States Currency) of liability arising from the physical loss of and/or damage to the values identified in paragraph 1 above, such sum applicable to each and every loss. For the avoidance of doubt, such indemnity and hold harmless will operate in respect of such loss whether Subcontractor is sued directly, or XX is sued (whether alone or otherwise), or if XX reasonably determines to effect a settlement.
