16. Consideration and enforceability
(a) The Guarantor represents warrants and agrees that:
(i) it will receive valuable direct and indirect benefits as a result of the transactions financed
by the credits offered by the Lender to the Borrower; and (ii) these benefits will constitute "reasonably equivalent value" and "fair consideration" as those terms are used in the ******fraudulent transfer laws.
(b) The Guarantor acknowledges and agrees that the Lender has acted in good faith in connection with the Guarantee, and the transactions contemplated by the Facilities Agreement.
