For the purposes of calculating the Earn-Out Payment, "Earn-Out Profits" means the adjusted gross profits of the Company, i.e. net sales including distributors' discount (up to x%) and less costs of goods sold, for the Earn-Out Period to be determined by Y's auditors at that time. For the avoidance of doubt gross profit for any product contributed by the Purchaser to the operations of the Company shall be excluded from the calculations of the Earn-Out Profits and distributors' discount (up to x%) should not decrease the net sales value.
