Z treści umów o takim tytule opublikowanych w internecie wynika, że zasadniczo są to umowy o zachowaniu poufności. Jeśli chodzi o pierwszą część terminu (non-circumvention) to znalazłem coś takiego:

CONDITIONS OF NON-CIRCUMVENTION:

1. This is to reaffirm that each of the named parties as individuals and as duly authorized officers of the named corporations, separately and individually, hereby agree to keep confidential the names, telephone information of the banks, trusts, lenders or borrowers, lending institutions, corporations, buyers, sellers, groups and individuals introduced by any of the named parties or of their associates. Such information is considered the property of the introducing party/company, and shall remain so for the term of this Agreement.

2. The parties of this Agreement acknowledge that no effort shall be made to circumvent its terms in an attempt to gain commissions, fees, renumerations, or considerations to the benefit of any of the parties of this Agreement, while excluding equal or agreed to benefits to any of the other parties.

Z powyższego przykładu wynika, że strony zobowiązują się do nieobchodzenia warunków umowy w celu uzyskania korzyści z wykluczeniem drugiej strony, czyli do zachowania poufności danych stanowiących własność drugiej strony. W związku z tym moim zdaniem można pominąć w tłumaczeniu pierwszy człon nazwy umowy.

NDA to całkiem standardowy termin, który tłumaczy się jako "umowa o zachowaniu poufności".

Natomiast pierwszy człon pojawia się w jej treści (jak zostało to zacytowane w pierwszej odpowiedzi) lub też nie. Ponieważ w tym przypadku pojawia się w samej nazwie umowy, proponowałbym jednak go nie pomijać i potraktować całość opisowo, np:

"umowa o zachowaniu poufności z klauzulą zakazującą obchodzenie tego warunku"

lub

"umowa o zachowaniu poufności zawierająca postanowienia zakazujące obchodzenia zasady poufności"

itp.

Asker: Dziękuję również. Jestem początkujący, więc z umową tą miałem do czynienia po raz pierwszy. O dziwo, żaden ze znanych mi słowników nie zawierał tego hasła.
