According to Article 4(1) of Directive 2000/35 on combating late payment in commercial transactions, which provides that Member States are to provide in conformity with the applicable national provisions designated by private international law that the seller retains title to goods until they are fully paid for if a retention of title clause has been expressly agreed between the buyer and the seller before the delivery of the goods, read in conjunction with recital 21 in the preamble to that directive, the Community legislature considered it desirable to ensure that creditors are in a position to exercise a retention of title on a non-discriminatory basis throughout the Community if the retention of title clause is valid under the applicable national provisions designated by private international law.

Segundo o artigo 4.°, n.° 1, da Directiva 2000/35, que estabelece medidas de luta contra os atrasos de pagamento nas transacções comerciais, que dispõe que os Estados‑Membros permitirão, em conformidade com as disposições nacionais aplicáveis e previstas no direito internacional privado, que o vendedor conserve os bens duradouros até terem sido totalmente pagos desde que tenha sido explicitamente acordada uma cláusula de reserva de propriedade entre comprador e vendedor antes da entrega dos bens duradouros, conjugado com o considerando 21 da mesma directiva, o legislador comunitário quis garantir que os credores pudessem fazer uso da cláusula de reserva de propriedade numa base não discriminatória em toda a Comunidade, no caso de esta cláusula ser válida no âmbito das disposições nacionais aplicáveis nos termos do direito internacional privado.
