The Client shall indemnify and subject to the Bank's privileges and immunities defend the Bank, its directors, officers, employees, agents and contractors against all claims, damages, costs, expenses, liabilities, proceedings, losses arising from, out of or in connection with any act or omission, whether tortuous, negligent or otherwise, of the Client or the Consultant, their employees, sub-contractors or agents, or any breach by them of their obligations under this Agreement, the Consultancy Contract or any failure by them to comply with any acts, rules or regulations. |
