The Indemnitor shall not be liable for a breach of any provisions hereunder in respect of any Claim (other than a Claim for breach of the Warranties in Section 2 of Annex B (Warranties of the Seller in relation to DutchCo) and Sections 2 and 9 of Annex C (Warranties of the Seller in relation to the Company) (each a “Substance Claim”) unless a Notice of Claim (as defined herein) is given by the Indemnitee to the Indemnitor within two (2) years after the Closing Date. No time limitation shall apply with respect to Substance Claims.
