Ваши сомнения понятны. С учетом любезно предоставленного Вами контекста соглашусь: само собой разумеется, фраза о квалифицированных институциональных покупателях и квалифицированных лицах, заявляющих, что они не являются "планом" (или "схемой"), звучит не по-русски.
А если, скажем, так:
Эмитент вправе предлагать, продавать или перепродавать Ноты в США (а также обязан принять соответствующие меры воздействия в отношении своих агентов, посредников или аффилированных сторон) исключительно лицам, являющимся, по его обоснованному мнению, Квалифицированными институциональными покупателями (QIBs) и Квалифицированными лицами (QPs), которые могут подтвердить, что (С) они не относятся к числу структур, применяющих ту или иную схему материальных льгот (или: выплат), контролируемую участниками.
Что касается перевода plan как "фонд", не рекомендовал бы по той простой причине, что по ходу работы над переводом может встретиться, например, следующий пассаж:
A plan, fund or program will be considered an ERISA-covered welfare plan only to the extent it provides one or more of the benefits described in Section 3(1).
