Under the English common law, the doctrine of frustration has no application, and accordingly would be unavailable, where the parties have made clear and express provision for what is to happen in

Such clear and express provision ousts the rules of frustration in relation to the contract.
Accordingly, where the Buyer under the SPA is a US national or is organised or operates in the US, the US Sanctions *will prevent it from performing under the SPA* and the Draft Clause will have the following effect:

the Buyer will be entitled “to immediately suspend the affected obligation (whether payment or performance) until such time as the [Buyer] may lawfully discharge such obligation”; and
where the US Sanctions continue (or are reasonably expected to continue) until the end of the contractual time for discharge of a contractual obligation, the Buyer will be entitled “to a full release from the affected obligation, provided that where the relevant obligation relates to payment for goods which have already been delivered, the affected payment obligation shall remain suspended... until such time as the [Buyer] may lawfully resume payment... without any liability whatsoever (including but not limited to any damages for breach of contract, penalties, costs, fees and expenses).”
