The Shareholders agree that:

• the issue of any equity securities in Rodnik other than on a pre-emptive basis and/or for fair market value;

• the timing, terms and financing of the acquisition from Mr. _______ and his affiliates or other minority ordinary shareholders of XXX of shares in XXX and the repurchase or redemption of the outstanding XXX preference shares (the "Minority Sweep-Up")

Не берусь оспаривать мнение Ваших юристов, но предложенный ими вариант "принудительный выкуп акций у миноритарных акционеров", имхо, не вполне годится, в первую очередь по причине repurchase or redemption.

Основное различие между redeem и repurchase в следующем:

When a company issues stocks, there are two ways it can retire and take out these stock out of the market. It can (1) "redeem" the stock meaning that it can buy it out directly from the person or organization that holds the stock, or it can (2) "repurchase" the stock meaning that it can buy it out in the open market.

Иными словами, я несколько сомневаюсь в правомерности использования как прилагательного "принудительный", так и существительного "выкуп" при переводе minority sweep-up.

Впрочем, это так, к слову.
