Контекст.
All payments made by Company under this Agreement (if any) shall be made free and clear of and without deduction or withholding for or on account of any taxes unless such deduction or withholding is required by applicable law. Company shall be entitled to deduct such withholding tax from the Fees payable to X.. and shall provide X.. with an original receipt (or other documentation necessary) evidencing payment of such withholding tax, and such assistance as X.. may reasonably require for X.. to claim a tax credit for such deduction or withholding, provided that the parties shall cooperate in good faith and use reasonable efforts to minimize the withholding tax due.

то есть речь, на мой взгляд, не о том, что отсутствует обязанность по уплате налога, а о том, что любой платеж должен осуществляться "необременным" дополнительными вычетами или удержаниями, которые могут обуславливается необходимостью/обязанностью уплаты налогов, для плательщика - то есть "обязанность по уплате налогов" имеет смысл перенести во вторую часть предложения

Дело в том, что "free and clear of", как мне кажется, не означает "без обязанностей уплаты"

Мне кажется фразу "без обязанностей уплаты, а также без вычетов или удержаний" можно понять двояко: без обязанностей уплаты - как будто "стоит особняком". Может быть, перефоразировать как-то или оставить просто "без вычетов ли удержаний" i.e. "Все платежи (при наличии таковых), совершаемые Компанией по настоящему Соглашению должны производится без вычетов или удержаний в счет уплаты каких бы то ни было налогов, за исключением / если только ..."
