The level of any share option award is determined by the Remuneration Committee each year by reference to total remuneration within a market peer group, subject to an overriding annual limit of ten times salary for Executive Directors. The vesting of share options awarded to the Executive Directors and to all employees is subject to relative TSR performance conditions. For options granted before May 2004, full vesting occurs only if the TSR performance of the Company meets or exceeds the upper quartile between the third and fifth anniversaries of the date of grant.
