el problema es que la legislación misma define "NON US PERSON" Y COMO ves (he cortado y pegado más abajo) no es cuestión de nacionalidad ya que los residentes pueden ser a "US Person" para los fines de este reglamento.

Por eso yo diría:

Declaro que ningún ente gubernamental ha aprobado la venta de las acciones per exceptuando "personas no estadounidenses" (en virtud de lo dispuesto en los Reglamentos S y D del Securities Exchange Commission)


y si quieres puedes hacer una nota del traductor ya que es la responsabilidad del lector de averiguar qué se entiende por US Person en la legislación --- saludos cordiales

So all you can do is use a calque - the reader is going to have to refer to the definition anyway, if they don't already know it.
