Compliance with Laws. X shall comply with all applicable laws and regulations of the Territory pertaining to the importation, distribution, sales, and marketing of the Products in the Territory and in any manner otherwise pertaining to performance by X of its obligations under this Agreement. X must comply with all the country's laws and regulations pertaining to the exportation and reexportation of the Products in Territory, including, without limitation, the country's export controls, trade embargoes and the country's Good Act. Without limiting the ***generality of the foregoing***, X will not use any payment or other benefit derived from Y to offer, promise or pay any money, gift or any other thing of value to any person for the purpose of influencing official governmental actions or decisions in obtaining or retaining business for the sale of the Products. |
