CLAIMS PROCEDURE

11.1 Upon the Targets becoming aware of any Claim, the Buyer shall communicate such fact to the Sellers within three Business Days of reception of the document on which the Claim is stated. Such communication shall be made to the address stated in Clause 19.1 of the Agreement and shall consider at a minimum the specific reasons for the Claim, the applicable Tax law with respect thereto and include a copy of all the documents notified by the Tax Authorities in connection with it.

11.2 The Sellers will communicate the Buyer its decision to i) appeal (or file a further action) to the Claim, scenario on which the Buyer will sign and file the correspondent appeal as prepared by the Sellers and the tax advisors it may use; or to ii) accept the Claim and, if required by the Tax Authorities, pay the correspondent Tax Liability, scenario on which the terms set forth in point 5 of this Exhibit will be applicable.
