La frase completa dice así:

The number of directors which shall constitute the Board of Directors shall be one (1) unless and until otherwise determined by a vote of majority of the entire Board of Directors.

Entiendo totalmente lo que quiere decir, sin embargo me confunde el hecho de que habiendo un solo administrador, ¿cómo puede decirse despues "por mayoría de votos del consejo de administración"? Si solo hay un administrador no tiene sentido esta votación o sí? Es decir, siempre habrá mayoría...

Supongo que inicialmente no tiene mucha incidencia pero que se anticipan a lo que pueda ocurrir en un futuro

Se podría decir "a menos que y hasta que" el Consejo de Administración acuerde por mayoría establecer un número distinto de administradores

Creo que es mejor hablar de "administradores" que de "directores"

Explanation:
Many companies consist of just one person, who often serves as the president, vice-president, secretary, etc. This person, when he votes will represent 100% of the votes when increasing the number of the board of directors, at which time the number in parentheses would increase

Another possibility is that the owner may own, for example, 1000 shares, each of which represents one vote. This person might sell some of these shares (each of which gives the right to one vote) to other people. These people may not be directors, but can vote for directors. - Not completely sure on this second explanation though.
