Cláusula de penalización por incumplimiento de plazo Explanation: ¿Existe una cláusula de penalización por incumplimiento de plazo? ------------- http://www.mylawyeris.com/real/essence1.html Time of the Essence says exactly what it means: Close on the date specified or be in default. And default for a buyer is generally loss of his/her down payment. Time of the essence can be established either by stating it in the contract or by a party declaring time of the essence by notice to the other party. -------- http://www.davidmarshall.co.uk/time-of-essence.html This phrase can be used in a contract to mean that if there is any delay in performance, even by a day, the innocent party is entitled to bring the contract to an end and claim damages for any loss suffered.

Clausula temporal/de temporalidad/de restricciones temporales/etc Explanation: This is potentially 'engañosa' becuase the phrase originates with the proverb/cliché "time is of the essence", meaning that the time factor is critical. The clause obviously lays down temporal conditions for something. Some of the other contributors are thinking on those lines, BUT you should examine the context before selecting a potentially restrictive translation for this very generic expression. In other words, answer the question 'time is of the essence for what?' - to submit documents, to appear in court, to make a payment etc - before choosing a translation. As a generic translation, should it be necessary, I suggest as possibilities: Clausula temporal/de temporalidad/de restricciones/limitaciones/condiciones temporales/etc |
