Innebär att en person, som betalat en annan persons (gäldenären) skuld, inträder i den förre borgenärens ställe gentemot gäldenären med övertagande av eventuell panträtt.

Exempel:
B lånar pengar av A. A får en panträtt i B:s fastighet som säkerhet för lånet.
C betalar av B:s lån till A och övertar panträtten i B:s fastighet.
