due diligence (process) Explanation: This is simply an English phrase imported into French (with a spelling mistake here). It is sometimes given in French as "diligence" or "obligation de diligence". It can refer to the concept of diligence or, as in your context, actually as a process. When used this way, it can be defined as follows (GDT): A process of research and analysis of an offering prior to its offer or sale. The process takes place on several levels. First, the sponsor or underwriter must complete economic, tax and regulatory due diligence to ensure that all claims and assumptions of the offering are legal and correct. The broker-dealer who will participate in placement of the security must determine that its customers will have a reasonable chance to profit from the investment. Due diligence at this level also involves a check into the background and experience of the sponsor, and an investigation of properties involved in the offering. Finally, the registered representative must ensure that the offering is in line with the customer's investment objectives. Note : Used in connection with the public sale of securities in real estate syndicates or corporations to refer to the duty of the underwriting, or selling, group to ensure that the offering statement or prospectus does not misstate or omit material information.
