I am not sure exactly how to put this. This is the context:

Le présent contrat étant conclu intuitu personæ, la société Filiale s’interdit de céder ou de transférer, de quelque manière que ce soit (et notamment sous forme de cession ou de mise en location-gérance de son fonds de commerce, <> ou, le cas échéant, de cession des titres) les droits et obligations en résultant, sans l’accord exprès, préalable et écrit de la Société Mère.
