Salut!

This term appears in an Employer-Contractor contract and I would appreciate some assistance with its translation. It appears under the heading 'Suspension/Resiliation' as follows:

Le Maître de l’Ouvrage pourrait résilier le Contrat et/ou les Prestations de Service soit entièrement soit partiellement et à tout moment, pour des raisons dont il sera seul juge et sans qu’il y’ait eu une quelconque défaillance de la part de l’Entrepreneur, à condition d’avoir donné un préavis écrit préalable de quinze (15) Jours à l’Entrepreneur.

I am particurlarly concerned about the meaning of 'défaillance' here and in other paragraphs (defaulting/default or bankruptcy?)
