from my own business experience of many years, I interprete PROPORTIONATE to mean "in the same proportions" i.e. a given percentage (of royalties) whereas RETROCESSIVE means that the higher the volume, the lower the royalty, in other words "some of the royalty is 'given back' " - retroceded.

my guess is that these are all fees paid regarding opening the franchise, becoming the franchiser, etc - they are proportional maybe to initial investment or profit, or maybe they aren't paid upfront, that's why the retroceding, something like that
