In fact my question is more about the overall meaning of this sentence. I think there's a word, if not two, missing: "qui LUI sont dévolus par la loi PAR les associés..."

Par and not aux...

Ok - that is a rubbish translation but all they are saying is that if there is only one guy, he shall have the powers normally conferred on the whole group of guys when there are several
