RECITALS is missing. RECITALS.. Whereas, ... is what you always find in Ks. Sometimes 'PREAMBLE... Whereas,' in UK agreements. Occasionally 'Preambule' in French agreements as well, but generally not, so you need to include 'RECITALS' in English.
