administrateur = membre du c. d'administration, je crois que c'est director en anglais UK. Pour être élu président du c.a. il faut déjà avoir un mandat d'administrateur, cf Article 478 : La durée du mandat du président du conseil d’administration ne peut excéder celle de son mandat d’administrateur.
Il y a une évolution vers un système à l'allemande avec un executive board et un supervisory board. En France, on peut encore choisir si on préfère continuer à cumuler les deux rôles du PDG traditionnel, cad "executive" (CEO en US / MD en GB par ex.) et en même temps président du "conseil" = traditionnellement, la direction générale dans la s.a. est exercée par le président du Conseil d'administration. Le directeur général est le "chef d'entreprise" et son représentant légal. Le Président du Conseil d'administration a simplement un rôle de représentation et d'organisation du c.a. et ne représente pas la société dans ses rapports avec les tiers. Donc, on peut choisir le système à l'ancienne et si on dit Directeur général, cela veut dire PRESIDENT DIRECTEUR général. http://www.netpme.fr/creation-entreprise/172-dissociation-fo...

My understanding is that a 'director' is the same as a 'board member', but if you are the chairman of the said board, it is logical that you are a member. I do not see why it is then specified that the person is the chairman and a member...

Sometimes when there don't seem to be exact equivalents, I note the French term in italics in the text to avoid ambiguities (as you probably already do, too).

I have just come across a list of other people with the title "Administrateur", so think it must be "Director" as presumably all directors are members of the board.

Hi, this term can indeed cause problems. It might just be "board member" in this case. Especially if the other positions are already mentioned.

I should appreciate clarification on whether there is any difference in UK terminology between Chief Executive Officer and Managing Director. I thought that CEO was more a US term, or applied when the person concerned was not a Director of the company. Also, the Oxford Business French Dictionary, gives the following under "administrateur": "(d'une société) member of the board". The Chair of the board is clearly a member of the board. There seems to be duplication of roles here and, as this is the details of the company's registration, I want to be clear about what positions this person holds.
