interpreted as a waiver of its rights in the terms of the Contract.

Explanation:
"Lack of action" seems a likely solution along with the "raising no objection" for 'tolérance'. I repeat that I find the original a little tricky as I would expect to see the more classic and more distinct express/implied here.

'Tolerance' suggests knoweldge of the fact and further allowing the situation to persist; 'passivity' suggests perhaps less knowledge, almost lack of interest, not even seeking knowledge. To that extent I find the distinction between these terms subtle, unlike the classic express/implied. In my view, that subtleness has to be respected.

Other suggestions would give sth like 'to be deduced as inaction' which simply is not clear for me
What they are really talking about is 'tacit agreement' and acceptance of sth that is not allowed in a contract.
