"Dans la brochure Méthodologie relative aux comptes consolidés(8), on précise que cet écart de première consolidation est constitué :
d'un écart d'évaluation résultant de la comptabilisation, à des fins de consolidation, des éléments identifiables de l'actif net acquis à leur juste valeur. **L'écart d'évaluation correspond donc à la différence entre cette juste valeur et la valeur comptable au moment de l'acquisition;**
d'un écart d'acquisition, soit la différence entre le coût d'acquisition des titres et la juste valeur mentionnée précédemment. Il s'agit donc d'une prime payée en contrepartie des avantages que procure la prise de contrôle : intégration d'un concurrent, expansion, diversification, pour en nommer quelques-uns. Cet écart d'acquisition a donc le même sens que celui qu'on donne à goodwill dans le chapitre 1580 du Manuel de l'ICCA."
