German term or phrase: rechnerischer Anteil
It´s the "auf den Inhaber lautenden nennwortlosen Stückaktien" again.

"Durch Beschlüsse ... wurde das Grundkapital um T€ 1,000 durch Ausgabe von 1,000,000 auf den Inhaber lautenden nennwortlosen Stückaktien mit einem rechnerischen Anteil am Gesamtkapital von je € 1,00 erhöht."

no-par value bearer shares with a theoretical interest of XXX in the share capital
Explanation:
...although Ralf will doubtless tell you he think's they're called bearer shares.....

Sometimes great minds do differ....

The main part is the theoretical interest.

Umm, I meant Ralf will tell you he thinks they\'re called unit shares. Lack of bloodflow to the brain this morning.....

You can also phrase it like this:

\"The no-par-value shares, with a theoretical par value of 3 Euro, each will be split into three no-par-value shares, each with a theoretical par value of 1 Euro. The capital stock of 5,617,494 Euro will then be divided into 5,617,494 no-par-value shares\"

Another option is to use \"stated value\" - instead of theoretical interest - but the problem is that technically speaking no-par value shares can\'t have a stated value.....

\"no par share: A share that may be sold by a company for any value. The company may designate a \"stated value.\" The stated value amount becomes part of the company\'s capital\"

I\'ve also just found \"with a theoretical share of XX \" on several google hits but I don\'t like that version at all.

agree  Glyn Haggett: I might use "notional" rather than "theoretical", though
