voting by circulation Explanation: Sorry I don't have time to look into these sites more thoroughly, but take a look at especially the second one (it's a pdf and I am running out of time). This looks like what you're talking about though. voting by circular motion/letter/resolution Explanation: The standard translation for this seems to be passing resolutions by ‘circular letter’. I have in fact used this translation a couple of times myself (it's also a modus which you can use under German law). looking for references I found a great semi-official translation of the Lichtenstein (!) Companies Act, which may prove generally useful as, if I remember rightly, Lichtenstein law is basically Swiss law: “Where the law or the articles do not determine to the contrary, resolutions of the bodies may also be passed by written assent to a motion put forward (resolution by circular letter) if a member ofthe body does not demand verbal deliberation” (Lichtenstein Companies Act) http://www.google.com/search?q=cache:www.pgr.li/cd/en/PRINT/... and: Resolutions of the Board of Directors may also be passed by circular letter. http://www.google.com/search?q=cache:www.kaba.com/e/stat/sta... another alternative (unfortunately also seems to be translation) “5. VOTING BY CIRCULAR MOTION If for any reason it is not possible to convene a meeting a decision by mail vote may be made by majority opinion. http://www.ibsa.es/rules/doc/cap-08d1.txt The last one gets round the problem of having to specify the medium.
