Johanna explains it in her first sentence. The boilerplate quote is not a translation, but an example of how this is said in English legalese. (I didn't use it, or Phil's version, since I am reluctant to stray so far from the original wording. I am not experienced enough at legal translation to know whether this is appropriate to do.)

it means that this agreement-as it stands- constitutes the entire agreement . Corresponding boilerplate in English contracts:

I usually translate it as something along the lines of "this contract is a record of everything agreed between the parties."

Also, the first of those tinyurl hits:
"Mündliche Nebenabreden sind nicht getroffen worden bzw sind ungültig."
seems to imply that this is an alternative (bzw) way of saying that they shall have no validity.

Thanks to you both (I did actually check the glossary; must have done something wrong, because nothing came up).

The problem I'm having is that this is a contract: almost everything pertains to the future or to what must or may be done--nothing else refers to something that HAS already been done or not done.

In one of the glossary entries (http://www.proz.com/kudoz/german_to_english/law:_contracts/1... the asker had the same question that I do: He thought that it should have an imperative meaning ("shall not be"), not a declarative one ("have not been").

Also for the search that Andrew shows. Linguee (which I had combed through already) has both "have not been" and "shall not be"--with almost all of the entries voted as a bad translation by Linguee readers (which is very common for Linguee now).

'Sind nicht getroffen" is the perfect tense. It means "have not been made". We've had this question several times before - please check the glossary before you post questions.
