Die zweite große Kategorie der Private-Equity-Beteiligungen sind Buyouts. Fonds, die sich darauf spezialisieren, kaufen reife Unternehmen auf oder übernehmen Abspaltungen (spin-offs) von Konzernen.

Häufig wird bei diesen Übernahmen auch das alte oder neue Management der gekauften Firma am Kapital beteiligt, man spricht dann von einem Management Buyout. Weil die Käufer meist in großem Umfang Fremdkapital als Hebel einsetzen, ist auch von Leveraged Buyouts die Rede.
