German term or phrase: ausserbörslich gehandelt
"XYZ ist eine private, ausserbörslich gehandelte Aktiengesellschaft mit über 600 Aktionären."

I know that "ausserbörslich" means "over the counter" here, but it's the "gehandelte" that's confusing me - does it actually mean that the company itself (i.e. its shares) is traded "over the counter"?

Confirmation by an expert in the financial field would be greatly appreciated!

Die Limited Company ist in Großbritannien auch für kleine und mittlere Unternehmen die gebräuchlichste Form der Kapitalgesellschaft und erfüllt damit als Private Company (Ltd.) (deutsch: private: nicht öffentlich, hier nicht öffentlich handelbar) ähnliche wirtschaftliche Funktionen wie die deutsche oder österreichische Gesellschaft mit beschränkter Haftung (GmbH) oder kleine Aktiengesellschaft (AG).

PS: Der im Netz zu findende Hinweis, dass die Private Limited Company der deutschen GmbH entspricht, ist so nicht richtig.

How can I find an English term / a legal form in English from the Switzerland company law system if they don't speak English in that country? So I have to say I don't understand your question?

The choice between US English and UK English, however, is the client's.

Asker: I should have mentioned that the company concerned is a Swiss bank. Would you therefore still suggest translating it in this context as Private Limited Company?

It's the "ausserbörslich gehandelt" element I'm having problems with...I don't know exactly what it means in this context and am therefore unable to translate it accurately into BE.

Die Gesellschaftsform hängt natürlich vom Ursprungsland ab. Wird hier die Deutsche AG beschrieben oder handelt es sich um ein Gesellschaftsform eines anderen Landes?

Ich würde das OTC, da es sich eher um eine Bezeichnung für den US-außerbörslichen Handel bezieht dann doch weg lassen und einfach z.B. schreiben: xyz is a private corporation in accordance with Swiss stock company law with 600 shareholders. Its shares are not publicly traded.

Something like that.

Asker: Sorry - I should have mentioned that the company is a Swiss bank. I'm not sure whether to translate by way of an "equivalent" form as suggested above by Sebastian, or by describing how it operates, as in the original text: hence "OTC-traded stock company". Does this sound right?

Asker: "OTC trading bezieht sich m. E. nur auf Wertpapiere, nicht auf Unternehmen " I was thinking the same thing - does this mean that the wrong form of the German verb "handeln" has been used? Or has the wrong terminology been used to describe the trading of the company?

  -> Ich nehme an, dass es sich hier um das Handeln mit den Unternehmensaktien handelt, nicht um das Unternehmen selbst. Aktien gehören m.E. noch zu der Kategorie Wertpapier. Aber vielleicht habe ich Louise's Anliegen falsch interpretiert. siehe Diskussion
