Explanation: In the case of a PERSONENGESELLSCHAFT it is a *partner* if in the sense of a TEILHABER - it is an *associate* and if in the sense of a KAPITALGESELLSCHAFT - it is a *shareholder* (British) and *stockholder* (US). -------------------------------------------------- Note added at 58 mins (2007-02-19 09:04:07 GMT) -------------------------------------------------- The LLC is treated as a "partnership" according to Dietl. It is a legal person whereby the liability of the shareholders is restricted to the company's assets. In this case *sole partner* would apply - in my opinion. Please ask Steffen to confirm this. |
