German term or phrase: übergeordnetes Gruppenunternehmen
Hello,

The above term is stated in "Corporate Governance-Grundsätze" of a German Group.

The respective section deals with conflicts of interest:

"Jedes Mitglied eines Aufsichtsorgans (...) ist verpflichtet, Interessenkonflikte offenzulegen, damit darüber entschieden werden kann, ob wegen dieses Interessenkonfliktes ein Ausschluss von der Beratung und Beschlussfassung über solche Angelegenheiten, für die der Interessenkonflikt relevant ist, erforderlich ist. Über den Ausschluss von der Beratung und Beschlussfassung entscheiden die übrigen Mitglieder des Organs, in dem der Betroffene tätig ist, durch Beschluss. Hilfsweise ist das jeweils **übergeordnete Gruppenunternehmen", äußerstenfalls sind die persönlich haftenden Gesellschaft der Gesellschaft [xxx KG] zur Entscheidung berufen."

Does "übergeordnetes Gruppenunternehmen" refer to the parent company (or Group/group parent company)?
