German to English translations [PRO]
Bus/Financial - Law (general)
German term or phrase: gefertigte Gründer
From a formal report on the formation of a company:

"Die gefertigten Gründer der XYZ AG erstatten folgenden Bericht über den Hergang der Gründung:"

"gefertigt" is the problem word here - I'm assuming it means that the founders have been properly designated or registered as such, but what would be the proper way to translate it?

Then I am somewhat at a loss as to the significance of "gefertigt" in your context. Perhaps the document has a template-like format, and signatures were omitted for some unknown reason...

Notes to answerer
Asker: a) Yes, it is Austrian. b) Thanks for the link - hadn't found that one. c) Not actually sure about "undersigned", since although the document is headed "Bericht der Gründer" there aren't any names or signatures at the bottom (neither are the founders named in this particular document)

Notes to answerer
Asker: I suspect that the founders have taken it upon themselves to set up the company - i.e. nobody has appointed them, it's something they've taken their own decision to do.

(hereunto) subscribing promoters

Explanation:
In actual UK company practice, namely Jordan's company law forms, EN co law books and companieshouseuk.co.uk , the terms are co. promotion or formation and promoters, even if founder's = deferred shares are issued.

gefertigte in AT is def. undersigned - 'Wie sagt man in Österreich' - Duden.

If there are no names or signatures at the bottom - Steffen could well be right about a template, the word subscribing leaves it open what document they have signed e.g. either the 1. report itself or the 2. Satzung or Statuten of the co. as subscribers to a UK-type Memorandum of Assoc. Hereunto would also rule out 3. subscription for co. shares.

Example sentence(s):
  • The promoters must make a decision regarding the type of company i.e a ... Association clause A declaration by the persons for subscribing to the Memorandum www.legalserviceindia.com/company%20law/com_1.htm
