Die Hauptversammlung der Tipp24 AG hat mit Beschluss vom 7. September 2005 den Vorstand ermächtigt, mit Zustimmung des Aufsichtsrats und nach näherer Maß-gabe der als Anlage 1 zu diesem Beschluss beigefügten Beschlussfassung der Hauptversammlung vom 7. September 2005 um Rahmen des Aktienoptionsplans 2005 mit Zustimmung des Aufsichtsrats bis zum 31. Juli 2010 im Rahmen des Akti-enoptionsplans 2005 bis zu *Stück* 500.000 Aktienoptionen mit Bezugsrechten auf jeweils eine Aktie der Gesellschaft mit einer Laufzeit von bis zu fünf Jahren nach Maßgabe der Optionsbedingungen zu begeben
