Trovare una corrispondenza 1 a 1 tra diritto societario italiano e tedesco spesso non è facile, potresti anche optare per lasciare la definizione in tedesco ed aggiungere una spiegazione in una nota a piè di pagina... scopo della traduzione permettendo.

aus lauter Verzweiflung habe ich im DE-EN Wi-Lex nachgeschaut, Mantelgründung=formation of a shell company, Mantelkauf=purchase of a shell company, vielleicht hilft das weiter...

im Internet gibt es mit shell company (neben etlichen Einträgen zu den Benzinfritzen) eher Verwendungen, die mich an Briefkastenfirmen denken lassen...

mein DE-FR Wi-Lex sagt bei Mantelkauf hingegen: (GesR) acquisition d'une société n'existant plus que sur le papier >> daher mein Vorschlag, das wäre zumindest eindeutig... und bestimmt findest Du im Italienischen eine schönere Formulierung! ;-)
