to be assigned to the extraordinary share premium fund Explanation: “to be assigned to the extraordinary share premium fund with the exclusion of the shareholder pre-emption right, in compliance with the last paragraph of Art. 2441 of the Civil Code, since they (the shares?) are set aside for Company or Subsidiary Company employee and management subscription…” share premium is also “premium on capital stock, paid-in capital/surplus, contributed surplus” Basically these shares (I presume, as you’ve cut off the beginning of the sentence) are to be put aside for prior sale to company staff and not the shareholders, who would normally get first shout. These things do go on and on – that’s why I refuse to do them any more! Angela |
