Italian term or phrase: impedimento di mero fatto
Clause in a supply contract specifying that party A is required to return the stuff given to it by party B when the contract is terminated.

"il Fornitore è espressamente obbligato a riconsegnare a [...] tutte le pratiche, i documenti ed ogni tipo di materiale ricevuto, con espressa rinuncia ora per allora, da parte del Fornitore, ad ogni eccezione, diritto o ritenzione o comunque impedimento anche di mero fatto, alla riconsegna di quanto consegnato da ."

Does this have a specific legal meaning, or does it simply mean "factual impediment" (e.g. the bridge between party A and party B has collapsed)? I wonder if it means, by extension, "non-legal impediment", along the lines of de facto/de jure?
