This is a pretty standard clause as you say, but it's written in varying forms. This one is fairly "informal" and would be translated along these lines:

(Subject [or: topic] of discussion) In the event that a matter arises that is not provided in this Agreement, both Party A and Party B shall discuss the matter to decide on the solution, while adhering to the intent of this Agreement.

There are various ways of embellishing such as "while adhering as closely as possible to the intent of this Agreement", etc. But, I feel that the above rendering adequately adheres to the Japanese version.
