"Matters not stipulated in this agreement or the contract on transfer of standing and matters subject to question shall be governed by the stipulations of the original contract, provided they do not contradict the spirit of this agreement or the contract on transfer of standing"

その趣旨 refers to the spirit (or intent) of the first two agreements, and I'd mention the two agreements again (as a translation of その) because otherwise it's ambiguous.
