"... at utgangspunktet for reglene om debitorskifte i selskapsforhold er den alminnelige regelen om at kreditorene må samtykke, bl.a. i relasjon til tilfeller der ”innmat” – nettoverdien av eiendeler og gjeld – skytes inn som aksjekapital (et av unntakene er fusjon etter asl./asal., men dette unntaket er uaktuelt her)."
