Commissions. Client shall pay Factor a commission equal to a percentage of the gross amount of the Purchased Accounts Receivable which percentage shall be determined on a case by case basis communicated to the Client through the TradeCard Platform. All commissions payable hereunder on Purchased Accounts Receivable are due and charged to the Client and fully earned by Factor upon Factor’s purchase of such Purchased Accounts Receivable. The foregoing commission is based upon Client's maximum selling terms of no longer than forty-five (45) days from the earlier of the (a) Invoice Date and (b) the Shipment Date, regardless of when Compliance occurs. Accordingly, on sales for which extended or additional terms are granted, the commission shall be increased by a percentage equal to one-half of the ***initial commission*** for each thirty (30) days, or portion thereof, by which Client's selling terms are extended (with one initial thirty (30) day period being presumptively granted unless Client is specifically advised to the contrary but any additional thirty (30) day period having to be specifically approved in writing (on the TradeCard Platform) by the Factor.
