The preferential share acquisition

Initially, with the 1992 Privatization Law, workers in a company could either acquire up to 20% of the shares at half-price or obtain free shares in voucher (mass) privatization. No other preferential schemes were foreseen in the first version of the law.

The government proposal envisaged a complete reliance on public auctions, no special concessions to workers and leaving the whole process in the hands of the relevant ministries. The alternative proposal suggested a programme administered by a quasiindependent Privatisation Agency and generous provisions for preferential share-acquisition by employees.

As of 1 January 2011 the amended provisions of the Polish Personal Income Tax Act (“PIT Act”) concerning the possibility of tax deferral on income from the preferential acquisition of shares under Employee Equity Plans (“EEP”) will come into force.
