moim zdaniem, chodzi tu o pełnomocnictwo do dokonania jakiejś szczególnej czynności materialnoprawnej (np. zawarcia umowy, zbycia składnika majątku), w odróżnieniu od pełnomocnictwa procesowego.

dlatego sądzę, że można spokojnie użyć tłumaczenia - power of attorney to (do sth), e.g. to establish a limited liability company

Explanation:
First, the basics: a pełnomocnictwo materialnoprawne, unlike p. procesowe, authorises the attorney to act out-of-court only. As far as I know, there's no equivalent division in common law legal doctrine.
A pełnomocnictwo szczególne, as opposed to p. ogólne contains authorisation to act which is limited in scope and covers only designated affairs of the donor. This can be rendered in English as 'special' (see link below) or 'limited' POA.
Now, a translator forced to deal with such a beautiful title can, in my opinion, choose from the 3 alternative strategies:
1) follow the target text tradition and omit the materialnoprawne part altogether. In the end, the character of the POA will be clearly visible in the actual wording of the document. I'm not saying this is the best option but an option nonetheless
2) To use the expression 'Special (or limited) power of attorney to act out of court'. Relatively short and readable, at least from my non-native perspective. The problem is there's no google reference. At all.
3) The Germanic lead: 'extra-judicial POA' 'POA for extrajudicial representation' and the likes. Mainly German or Swiss google references are available (see the 2nd link below). As Polish law in many instances follows or is based on the German/Austrian model, this may be a good alternative.

Last but not least, Polangmar's proposal. It's logical (yes, generally speaking and subject to a number of caveats, a distinction between a POA granted under Civil Code (substantive law) and Civil/Administrative/Criminal Procedure Codes (adjectival laws) can be drawn), but for me such a title is not illustrative enough.
