Under corporate law provisions certain transactions are subject to corporate approval by a company's general meeting of shareholders or the board of directors. In particular, such approval is required: (i) for major transactions, ie where the value of the property exceeds 25 percent of the company's assets; and (ii) for related party transactions. Additional restrictions may be set out in the company's charter
